Sun Life Canada, a prominent life insurance company, has announced its acquisition of Dialogue Health Technologies, a virtual health-care and wellness platform based in Montréal. Dialogue's executive management will retain a minority interest in the company after the acquisition.

As part of the acquisition, Dialogue will continue to function independently as a standalone entity within Sun Life Canada. The company's management team, including its CEO Cherif Habib and CTO Alexis Smirnov, will remain in their current roles and will retain a portion of their equity ownership in the company.

Dialogue's virtual health-care platform provides accessible and affordable care to nearly 2.8 million members across 50,000 organizations in Canada and internationally. Their services include physical health, mental health support led by clinicians, Employee Assistance Program (EAP) for short-term counseling, personalized wellness, and fitness resources.

Sun Life Canada emphasizes that Dialogue's platform is employer-paid, meaning that Canadians can access care digitally through their employer's benefits, reducing the burden on the public health system. The acquisition aims to provide solutions to Sun Life Canada's clients and other Canadian organizations in the group benefits market and beyond.

The acquisition was the result of a strategic review process by Sun Life Canada and received unanimous approval from Dialogue's board of directors. The deal is expected to be completed in the fourth quarter of 2023, subject to regulatory approvals and customary closing conditions.

Dialogue has experienced growth in recent months, with increased revenues and reduced losses. Its core digital business in Canada grew by 35.9 percent year-over-year, contributing significantly to the company's recurring revenue.

With this acquisition, Sun Life Canada aims to be a leader and trusted partner in digital health, addressing the increasing demand for accessible and efficient health care in Canada.
